These Terms of Service ("Terms") govern your access to and use of the Bookendo platform, website, and services (collectively, the "Service") operated by Bookendo LLC ("Bookendo," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Description of Service
Bookendo is a cloud-based business management platform designed for beauty, permanent makeup, tattoo, and aesthetic service businesses. The Service includes:
- Appointment scheduling and calendar management
- Client relationship management
- Digital consent form creation, delivery, and storage
- Inventory management
- Business reporting and analytics
- SMS messaging (appointment reminders, consent form delivery)
- Multi-user access with role-based permissions
- Third-party integrations (Google Calendar sync, Google Reviews, payment processors)
3. Account Registration
- You must provide accurate, complete, and current information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Send unsolicited messages (spam) through our messaging features.
- Send messages without proper recipient consent as required by applicable laws (TCPA, CAN-SPAM, GDPR, etc.).
- Upload or transmit malware, viruses, or harmful code.
- Attempt to gain unauthorized access to the Service or other users' accounts.
- Use the Service to harass, abuse, or harm others.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Resell or redistribute the Service without our written consent.
- Scrape, crawl, or use automated means to access the Service without permission.
- Use the messaging features for purposes unrelated to your business's client communications.
5. Messaging Terms
If you use Bookendo's SMS messaging features:
- You are solely responsible for obtaining proper, documented consent from your clients before sending messages.
- You must comply with all applicable messaging laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any relevant international regulations.
- Messages must be related to your business operations: appointment reminders, consent form delivery, booking confirmations, and service-related communications.
- You must honor all opt-out (STOP) requests immediately.
- You must not send messages for marketing purposes without explicit opt-in from recipients.
- Message frequency is determined by your appointment and service activity.
- We reserve the right to suspend your messaging privileges if you violate these terms.
- Standard messaging and data rates may apply to recipients.
6. Third-Party Integrations
6.1 Google Calendar
If you connect your Google Calendar to Bookendo:
- You authorize Bookendo to access, read, create, update, and delete events in your Google Calendar to enable appointment synchronization.
- Bookendo will only access calendar data necessary to provide the sync feature.
- You can disconnect Google Calendar at any time from the Integrations page, which will revoke Bookendo's access to your calendar data.
- You are responsible for ensuring that calendar events shared between Bookendo and Google Calendar do not violate your clients' privacy expectations.
- Bookendo's use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements.
6.2 Google Reviews
If you enable the Google Reviews integration:
- Bookendo will send automated review request emails to your clients after completed appointments.
- You are responsible for ensuring that sending review requests to your clients complies with applicable email marketing laws.
- Bookendo does not guarantee any increase in Google Reviews or ratings.
6.3 General Integration Terms
- Third-party integrations are subject to the respective third party's terms of service and privacy policies.
- Bookendo is not responsible for outages, changes, or discontinuation of third-party services.
- We may add, modify, or remove integrations with reasonable notice.
7. Your Data
6.1 Data Ownership
You retain ownership of all data you input into the Service ("Your Data"), including client information, appointment records, consent forms, and business configurations. We do not claim ownership of Your Data.
6.2 License to Us
By using the Service, you grant us a limited license to process, store, and transmit Your Data solely to provide and improve the Service. This license terminates when you delete your account.
6.3 Data Controller Responsibilities
As a business using Bookendo, you are the data controller for your clients' personal information. You are responsible for:
- Obtaining necessary consents from your clients for data processing.
- Complying with applicable privacy laws (GDPR, CCPA, etc.) regarding your client data.
- Ensuring the accuracy of client data you enter into the Service.
- Responding to data subject access requests from your clients.
6.4 Data Backup and Export
We maintain regular backups of the Service. You may request an export of Your Data at any time by contacting us at support@bookendo.com.
8. Consent Forms
- Bookendo provides digital consent form tools. We are not a law firm and do not provide legal advice.
- You are solely responsible for the content of your consent forms and ensuring they comply with applicable laws and professional regulations in your jurisdiction.
- Digital signatures collected through the Service are intended to create a record of consent. You should consult with a legal professional regarding the enforceability of digital signatures in your jurisdiction.
- We store consent form submissions and generated PDFs for the retention period specified in our Privacy Policy.
9. Fees and Payment
- Some features of the Service require a paid subscription.
- Prices are listed on our website and may change with 30 days' notice.
- Subscriptions are billed monthly or annually as selected.
- SMS messages may incur per-message charges as specified in your plan.
- Refunds are available within 14 days of a charge if you have not substantially used the Service during that period.
9.1 Payment Processing for Businesses
Bookendo provides integrated payment processing tools that allow businesses to accept payments from their clients. By using these features, you agree to the following:
- Third-party processors: Payments are processed through third-party payment processors, including Stripe and PayPal. Bookendo does not directly handle, store, or process credit card or payment information. All payment data is managed securely by the respective payment processor in accordance with PCI-DSS standards. - Platform fee: Bookendo charges a platform fee of 0.5% on each transaction processed through the Service. This fee is automatically deducted from the transaction amount before funds are transferred to your account.
- Funds transfer: When a client makes a payment through the Service, the funds are processed by the payment processor and transferred to your connected account, minus the processor's fees and Bookendo's platform fee.
- Account requirements: To accept payments through the Service, you must connect a valid payment processor account (e.g., Stripe, PayPal) and comply with the payment processor's terms of service and any applicable verification requirements.
- Refunds and disputes: You are responsible for managing refund requests and payment disputes with your clients. Bookendo facilitates refund processing through the Service, but the refund is executed by the payment processor. Chargebacks and disputes are subject to the payment processor's policies.
- Cash and manual payments: The Service also allows you to record cash and other manual payments for bookkeeping purposes. These payments are not processed by any third-party processor and Bookendo does not charge a platform fee on them.
10. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control (Internet outages, third-party provider issues, force majeure).
11. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by Bookendo LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
- BOOKENDO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
- WE ARE NOT LIABLE FOR ACTIONS TAKEN BY BUSINESSES USING OUR PLATFORM OR THE CONTENT OF THEIR CONSENT FORMS.
13. Indemnification
You agree to indemnify and hold harmless Bookendo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Termination
- You may terminate your account at any time by contacting us.
- We may suspend or terminate your account for violation of these Terms with notice.
- Upon termination, your right to use the Service ceases immediately.
- We will retain Your Data for 90 days after termination, during which you may request an export.
- Consent form data may be retained longer as required by law.
15. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Georgia, United States. Each party shall bear its own costs.
16. Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
